Terms of sale
Last updated: 1 November 2026
This English version is provided for convenience. In case of any discrepancy, the French version prevails.
These terms apply to the professional subscription to Modal PDF. They are addressed to business customers (companies, public bodies, self-employed people). The subscription is reserved for professionals: by placing an order, the buyer declares that they are acting for professional purposes. The sale is not intended for consumers.
1. Seller and reseller
Modal PDF is published by MODALB (the “Publisher”). Orders are processed and paid for through Paddle.com Market Limited, 30 Old Bailey, London EC4M 7AU, United Kingdom (company no. 08172165, registered in England and Wales) (“Paddle”), which acts as reseller and seller of record and collects the payment. Paddle issues the invoice, calculates and collects the applicable taxes, and handles payments and refunds. Paddle’s buyer terms apply in addition to these terms. Paddle’s contact details appear on the invoice.
2. Subject matter
The subscription grants the right to use Modal PDF in the course of a professional activity, on the number of seats ordered, for the duration of the subscription, together with the right to install the updates released during that period. The software is the same as for personal use: all features are available to everyone.
A seat is a computer on which Modal PDF is used in the course of a professional activity. Professional use means any use in a company, a public body or a paid activity (including self-employed work or a liberal profession).
Licence. The Publisher grants the customer, for the duration of the subscription, a personal, non-exclusive and non-transferable right to install and use Modal PDF on the number of seats ordered, for its professional needs. The customer may not copy, resell, rent or sublicense the software, subject to the rights that the law mandatorily grants it. The software contains third-party components subject to their own licences; these licences are not restricted by these terms.
3. No activation, no key
The software requires no key, no activation and no account, and does not monitor usage. The customer declares the number of seats themselves when ordering and undertakes to order as many seats as there are computers in use. The invoice is the proof of licence.
4. Prices
Prices are stated per seat: $5 per month or $50 per year (€5 per month or €50 per year in countries where the price is shown in euros). The applicable taxes (VAT or equivalent) are calculated according to your country and shown before payment. They appear on the invoice. The yearly subscription corresponds to 10 months billed out of 12. The applicable price and currency are those displayed at the time of the order.
5. Term, renewal and cancellation
The subscription is taken out for a monthly or yearly period and renews automatically for a period of the same length, until it is cancelled. If the price changes, the Publisher informs the customer at least 30 days before the renewal concerned; the customer may then cancel before that date. The customer may cancel at any time from Paddle’s customer portal; cancellation takes effect at the end of the period already paid for, which is not refunded pro rata, except in the case of a refund provided for in article 7 or of force majeure (article 8.7). The customer can also change the number of seats from that portal. The Publisher may suspend or terminate the subscription in the event of a serious breach by the customer, in particular a false declaration of the number of seats, after a formal notice that has remained without effect for 15 days.
6. Payment
Payment is due at the time of the order and at each renewal, by the means offered by Paddle at the time of payment.
7. Refunds and withdrawal
The customer acts for professional purposes and, subject to any mandatory statutory provisions that may apply to it, has no right of withdrawal. The Publisher also grants, as a goodwill gesture, a refund within 14 days after payment: see the refund policy.
8. Warranties and liability
8.1 Publisher’s commitment. The Publisher undertakes to provide software that conforms to its description on the site and to maintain it with reasonable care. It has an obligation of best efforts (obligation de moyens). The customer, as a professional, chooses the software according to its needs and under its own responsibility; it is for the customer to test it before any high-stakes use.
8.2 Backups and verification. Modal PDF works on files that the customer keeps on its own computers. The customer backs up its documents and checks the files produced or modified (conversion, merging, formatting, etc.) before using or sending them. The Publisher does not guarantee uninterrupted or error-free operation.
8.3 Cap on liability. To the extent permitted by law, the Publisher’s total liability to the customer, for all damages combined and on whatever basis, is limited to the higher of (a) the amounts actually paid by the customer for the subscription during the 12 months preceding the event giving rise to liability and (b) 500 euros.
8.4 Excluded damages. To the same extent, the Publisher is not liable for indirect damages, including loss of revenue, customers, opportunity, profits or reputation, nor for the loss or alteration of the customer’s data or documents resulting from the failure to back up provided for in article 8.2.
8.5 Limits. Nothing in these terms excludes or limits the Publisher’s liability in the event of wilful misconduct (dol), gross negligence (faute lourde) or personal injury, nor any liability that cannot be excluded or limited by law. The statutory warranties that the customer cannot waive remain applicable.
8.6 Paddle. The order, payment, invoicing, calculation and collection of taxes, and refunds are handled by Paddle, under its own buyer terms. The Publisher is not liable for Paddle’s failures in these areas; the customer should then contact Paddle, and the Publisher for any difficulty relating to the software or its licence.
8.7 Force majeure. Neither party is liable for a failure caused by an event of force majeure within the meaning of the law. If the event lasts more than 30 days, either party may cancel the subscription; the unused period is then refunded pro rata, by Paddle.
9. Personal data
See the privacy policy.
10. Governing law and disputes
10.1 These terms are governed by French law.
10.2 Amicable settlement. In the event of a difficulty, the customer first contacts the Publisher at the address given under Contact. The parties will endeavour to reach an amicable solution within 30 days of receiving the written complaint. Mediation is possible if both parties agree to it; it is not mandatory.
10.3 Competent courts. Failing an amicable agreement, any dispute relating to the formation, interpretation or performance of these terms is submitted to the commercial court of Nantes (tribunal de commerce de Nantes) where the customer is a trader, including in summary proceedings, third-party claims or where there are several defendants. For any other customer, the competent courts are determined under the ordinary rules of law. These provisions apply subject to mandatory rules of jurisdiction.
10.4 Paddle. Disputes between the customer and Paddle concerning the order, payment, invoicing, taxes and refunds are governed by Paddle’s buyer terms. This article does not modify them.
11. General provisions
The applicable terms are those in force on the date of the order; the Publisher may amend them for the future, the new terms applying to subsequent orders and renewals. If any provision is declared void, the others remain applicable. The customer may not assign its subscription without the Publisher’s written consent. These terms are written in French.
